By accessing or using Come Say Hi websites, mobile applications, or related services (the “Services”), you agree to these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. The Services
Come Say Hi provides software and experiences that help people and venues connect in real-world social settings. Features may change over time; we may add, modify, or discontinue functionality. The Services are provided by Let's Meet LLC (“we”, “us”, “our”).
2. Accounts and eligibility
You may need an account to use certain features. You agree to provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly at support@comesayhi.com if you suspect unauthorized access.
3. Acceptable use
You will not, and will not assist others to:
- Violate law or infringe others’ rights (including privacy, publicity, and intellectual property rights);
- Harass, threaten, defraud, discriminate, or endanger people;
- Attempt to gain unauthorized access to the Services, accounts, or systems;
- Interfere with or disrupt the integrity or performance of the Services;
- Use automated means to access the Services in a way that imposes an unreasonable load or bypasses technical limits; or
- Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits.
Venues and staff using dashboard or venue tools must use the Services only for legitimate business purposes and in line with agreements between the venue and us, where applicable.
4. User content
You may submit content through the Services (“User Content”). You retain ownership of your User Content. You grant us a worldwide, non-exclusive license to host, use, reproduce, modify, display, and distribute User Content solely to operate, improve, promote, and provide the Services. You represent that you have the rights needed to grant this license. We may remove or restrict User Content that violates these Terms or that we reasonably believe could cause harm.
5. Venue relationships
If you interact with Come Say Hi at or through a venue, additional terms or policies from that venue may apply to your relationship with them. We are not responsible for third-party premises, policies, or conduct.
6. Beta and changes
Parts of the Services may be labeled or offered as beta, preview, or early access. Those features may be unstable or change frequently. We may modify the Services or these Terms; if we make material changes, we will provide notice as appropriate (for example, by posting an update or in-product notice). Continued use after changes become effective constitutes acceptance of the revised Terms.
7. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LAW DOES NOT ALLOW SUCH LIMITATIONS.
9. Indemnity
You will defend and indemnify us and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services, or your violation of these Terms or applicable law.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms, if we must do so to comply with law, or if we discontinue the Services. Provisions that by their nature should survive will survive termination.
11. Governing law; disputes
These Terms are governed by the laws of the United States and the state where Let's Meet LLC is organized, without regard to conflict-of-law rules. Courts in that state (or federal courts located there, if applicable) have exclusive jurisdiction over disputes, unless applicable law requires otherwise. You and we waive any right to a jury trial to the extent permitted by law.
12. General
These Terms constitute the entire agreement between you and us regarding the Services and supersede prior agreements on the subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
